Kenneth S. Pollock
Kenneth S. Pollock was a 1990 graduate of The Pennsylvania State University where he received his Bachelor of Science Degree in Accounting. He obtained his juris doctorate in 1995 from the University of Miami School of Law. He was admitted to the Bar of the State of Florida and was admitted to practice before the United States District Court, Southern District of Florida.
Mr. Pollock concentrated his practice in complex litigation with an emphasis in the defense of professionals, including: attorneys, accountants, directors and officers, brokers-dealers, insurance companies and agents, fiduciaries, real estate agents and title agents. Mr. Pollock's general liability practice included representation of clients in matters arising from automobile accidents, trucking, slip and falls, and other incidents giving rise to personal injuries.
Mr. Pollock devoted considerable time representing publicly and privately held entities in a wide range of general corporate and finance transactions. He frequently represented corporations in various stages of development in organizational, personnel and corporate governance matters. He had significant experience in emerging company formation, capitalization and representation; corporate restructuring transactions; and venture capital financings. Advising on mergers and acquisition matters, he represented public and private clients in the acquisition and divestiture of assets and subsidiaries as well as the preparation and negotiation of contracts relating to general corporate matters. In addition, Mr. Pollock assisted public companies in satisfying their continuing disclosure obligations under applicable securities laws including the preparation of annual and quarterly reports, proxy materials, Section 13 and 16 filings, as well as compliance with various listing requirements.
Mr. Pollock brought to the firm a unique combination of accounting and corporate skills developed during his tenure as a founding partner of Newman, Pollock & Klein, LLP, a corporate and securities law firm and in public accounting with Coopers & Lybrand ("C&L") in New York City, New York. From 1990 to 1992, Mr. Pollock worked for C&L where he specialized in financial services. During this time, Mr. Pollock was involved in the year end audits for Goldman Sachs & Co and participated in various assignments for smaller broker-dealers including Tokyo Securities. This background was invaluable to his representation of individuals, private and public companies and non-profit entities in a broad range of business matters.
